Senior Paralegal



The GfK Group is a worldwide market research organization providing services in the three sectors: Custom Research, Retail and Technology, and Media. The company’s headquarters are in Nuremberg, Germany. The Group has a staff complement of 13,000+ employees and their market research services cover more than 100 countries across the world reporting to General Counsel, US, the Senior Para Legal will join a growing Legal team, in a global service organization and be responsible for the following matters in the Americas:
Essential Duties and Responsibilities:
• Review, revise and negotiate confidentiality agreement with Corporate Counsel oversight. Prepare MSA amendments and provide comments on confidentiality provisions in variety of legal contracts.
• Manage US corporate minute books; make all required filings under applicable state law. Prepare all shareholder and board notices, agendas and resolutions in connection with special and annual shareholder and board minutes. Record minutes of board and shareholder meetings. Preparation of articles of incorporation, amendments and restatements, bylaws and other corporate governance related documents.
• Assist in transactional matters, in connection with due diligence review and document management.
• Assist Global Corporate Governance Secretary with various corporate governance matters (e.g. reorg projects, update Corporate Governance Portal, Annual Financial Certification, Authorization Schedules)
• Manage and maintain various form libraries, corporate policies, legal portal documents.
• Maintain the legal electronic document library.
• Maintain the legal electronic document library.
• Review, code and work on legal invoicing/budget matters.
• Backup Legal Administrative Assistant as needed.
5 years Legal experience/in house Legal Department
• International experience a plus; German or Spanish skills preferred;  legal translation skills (German) preferred; dictation
• Ability to maintain confidentiality of records and information. 
• Follow complex verbal and written instructions. 
• Knowledge of legal terminology, legal forms and documents.
• Modern legal office practices and procedures. 
• Superior document production skills (e.g. TOC, document schemes).
• Superior knowledge of MS Office Suite. 
• Exceptional communication skills; ability to liase with all areas of the business and support areas at all levels, including senior management
